NO PURCHASE NECESSARY TO PLAY OR WIN. PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. U.S. AND LOCAL LAWS AS APPLICABLE IN EACH JURISDICTION GOVERN THIS CONTEST. VOID WHERE PROHIBITED BY LAW.

1. ELIGIBILITY:

FindMeAStar.com Performance Contest (the “Contest”) is open to legal residents of the fifty (50) United States and Washington D.C., Mexico, Canada (excluding Quebec), United Kingdom, and [list of other locations TBD], who are thirteen (13) years or older, or the age of majority in their jurisdiction, whichever is older, as of the first day of the Monthly Contest (defined below), and are registered members of FindMeAStar.com. (Registration is free and is described below). Participants between the ages of thirteen (13) and eighteen (18) years old, as of the first day of the Monthly Contest, are eligible to enter, but CANNOT directly collect any prize winnings. (The process for prize collection by a minor’s parent or legal guardian is described below). The following are not eligible for the Contest: (i) Employees and agents of FindMeAStar.com, Inc., its parent or affiliated companies, or any entity directly connected with the development, implementation, promotion, or sponsorship of this challenge; and (ii) the “immediate family members” and/or “household members” of any of the persons set forth in (i) above. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings or spouses. “Household members” shall mean people who share the same residence at least three (3) months a year. This Contest is void in all U.S. Territories (e.g., Guam and Puerto Rico), all foreign territories not specifically included herein, and where prohibited by law.

2. ACCEPTANCE OF OFFICIAL RULES:

Participation constitutes entrant's full and unconditional agreement to these official rules (the "Official Rules") and to Sponsor's (defined herein) decisions. The decisions of the Sponsor in regards to all matters of this Contests are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. SPONSOR’S ADDRESS:

This Contest is sponsored by FindMeAStar.com, Inc. (the “Sponsor”), 137 S. 9th Street, City of Industry, CA 91746.

4. ENTRY PAGE:

To access and/or enter the Contest, log-on to the FindMeAStar.com main page and create your entry by clicking “Performance Contest” and selecting “Become a Contestant.”

5. FindMeAStar.com Registration:

To enter the Contest and/or to vote, you must be registered with FindMeAStar.com. Registration for FindMeAStar.com is free.

• a. Not yet a member: You may register for FindMeAStar.com by clicking “JOIN” on the FindMeAStar.com main page and following the instructions. You will be asked to provide your full name, e-mail address, gender, birth date, country, zip code, and a password. An email will be sent to the email address provided for authentication and activation of your account.
• b. Already a member: If you are already a member of FindMeAStar.com, then you do not need to register again. You may enter the Contest or vote by logging in to FindMeAStar.com with your registered email address and password.
• c. Password: You are responsible for the secrecy of your password. Sponsor or other third parties are not responsible or liable for any actions taken using your password.

6. TIMING:

The Contest begins on June 1, 2011 at approximately 12:01 a.m. Pacific Time (“PT”) and ends on July 31, 2012 at approximately 11:59 p.m. PT (the “Contest Period”). Each monthly period is a separate independent event (each a “Monthly Contest”). There are fourteen (14) Monthly Contests during the Contest Period. Each new Monthly Contest begins on the 1st day of each month at approximately 12:01 a.m. PT and ends at approximately 11:59 p.m. PT on the last day of each month (e.g., the June 2011 Monthly Contest will begin on June 1, 2011 and end on June 30, 2011. The July 2011 Monthly Contest will begin on July 1, 2011 and end on July 31, 2011.) For the purposes of these Official Rules all times are Pacific Time (“PT”).

7. HOW TO ENTER:

• a. Enter Online: Login to the FindMeAStar.com main page during the Contest Period and complete your entry by uploading or recording your videos on the “My Contest Profile” page.
• b. Limit: One (1) entry per Monthly Contest (i) per person (Regardless of the number of email addresses or registered accounts), (ii) per group (Regardless of the number of persons or registered accounts), or (iii) per e-mail address (Regardless of whether more than one person uses the same email address).
• c. Void: Use of any automated system (e.g., robots, macros, scripts, automatic programs or like methods) is prohibited. Any attempt by any entrant to use an automated system or to submit more than one (1) entry per Monthly Contest by using multiple/different email addresses, identities or any other methods, will void all of that entrant’s entries, and render that person(s) ineligible to receive any prize. Any attempt by an entrant to fix, manipulate or influence the Contest voting through an automated system or by offering payment or other consideration in exchange for votes, will void all of that entrant’s entries, and render that person(s) ineligible to receive any prize. Entry materials/data that have been tampered with or altered are void.
• d. Change of E-mail Address: It is the sole responsibility of the entrant to notify the Sponsor during the Contest Period if his or her e-mail address changes. To do so, click on the "Info" link on your FindMeAStar.com profile page and follow the instructions.
• e. Entry Errors:
  • i. Sponsor is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified.
  • ii. Sponsor is not responsible for any unavailability of or interruptions to any service or equipment used in connection with this Contest, including without limitation (1) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information.
• f. No Return of Entries; Disputes: Once submitted, entries become the sole property of Sponsor and will not be acknowledged or returned. In the event of a dispute as to any entry, entry will be awarded to the person named on the applicable entry page. Potential winners may be required to show proof of identification. Sponsor may require that the potential winner(s) provide proof that he/she/they are the actual entrant and/or provide the password associated with the winning entry.

8. HOW TO PLAY:

• a. General. The FindMeAStar.com Performance Contest is divided into two stages,: the Monthly Contests and The Big Show. The objective of each Monthly Contest is to receive the highest cumulative number of StarPoints for your entry as voted on by the registered users of FindMeAStar.com. For performers earning a spot in The Big Show, the objective is to receive the highest cumulative number of StarPoints for your live performance as voted on by viewers, FindMeAStar.com users, and the general public.
• b. The Monthly Contests. Registered FindMeAStar.com users will be offered the opportunity to participate in each Monthly Contest during the Contest Period. The main objective of each Monthly Contest is for contestants to accumulate the highest number of StarPoints, as voted on by other registered FindMeAStar.com users, for their current Monthly Contest entry. To enter a Monthly Contest, contestants will need to login to their FindMeAStar.com user account, click on the “My Contest Profile” link, and select “Enter Now.” Once entered, each contestant is able to develop his or her “My Contest Profile” page by uploading or recording audio or video demonstrating his or her performance abilities. To upload audio or video, select the “Upload Media” tab on the “My Contest Profile” page and follow the instructions. There is no limit to the number of audio or video submissions that may be uploaded or recorded during the Monthly Contest. Submissions must comply with these Official Rules and the FindMeAStar.com Terms of Use, Privacy Policy and Content Guidelines.

During each Monthly Contest, registered FindMeAStar.com users will cast votes for their favorite contestants for that month. While registered users are encouraged to cast votes based on the quality of the submitted audio and video performances, Sponsor has not established any voting criteria beyond what is contained in these Official Rules. Votes are submitted on a per contestant basis and should represent the voter’s impression of the contestant as a whole including, but not limited to, the audio and video performances submitted by the contestant. To cast a vote for a particular contestant, go to that contestant’s Contest Profile page, click “Submit Vote,” and follow the instructions. Each time a vote is cast, the voter will be asked to rate the contestant for whom the vote is being cast by selecting a Star rating, 5 Stars being the highest and 0 Stars being the lowest, and the vote will then be converted into StarPoints according to the following scale:

• Mega-star (5 Stars) 10 StarPoints
• Super-star (4 Stars) 7 StarPoints
• Shooting-star (3 Stars) 5 StarPoints
• Shinning-star (2 Stars) 3 StarPoints
• Falling-star (1 Star) 1 StarPoint
• Fading-star (0 Stars) 0 StarPoints

Voters may vote for as many contestants as they choose, but will only be able to cast one vote per contestant per twenty-four (24) hour period (i.e. If User A casts a vote for Contestant B at 5:00 p.m. PT, then User A will not be able to vote again for Contestant B until 5:00 p.m. PT the following day.) Registered users may return daily to cast votes for their favorite contestants. Under no circumstance will a registered user be able to cast more votes for a single contestant during a Monthly Contest than there are days in that month.

• c. The Big Show. After the conclusion of the final Monthly Contest, Sponsor will host The Big Show, a final live performance to feature the Platinum (1st) Prize winners from each of the Monthly Contests held during the Contest Period. The main objective of The Big Show is to receive the highest cumulative number of StarPoints as voted on by the viewers, FindMeAStar.com users, and the general public. StarPoints will be calculated using the same scale as above. Voting will open at the conclusion of The Big Show and remain open for a minimum of 24 hours (the “Voting Period”). Votes will be cast through multiple means including text messages, dialing a specified phone number assigned to each contestant, through the FindMeAStar.com website, and through any other means now available or later developed. Voters may cast up multiple votes for the same contestant during the Voting Period.

Additional information including the date, time, location and format of The Big Show will be provided to the Platinum Prize winners at least thirty (30) days prior to The Big Show.

9. PRIZES AND TIEBREAKERS:

• a. Monthly Prizes: Monthly Platinum, Gold and Runner-up prizes will be awarded for the entries receiving the 1st, 2nd and 3rd highest number of StarPoints, respectively, during each Monthly Contest (e.g., June 2011). Potential winners will be announced on the first day of the next month. No prize shall be awarded for any entry until the potential winner(s) have been verified under the provisions of paragraph 10. The Platinum, Gold and Runner-up prize awards are as follows:
• i. Platinum Prize: $1,000 USD or the equivalent value in StarNotes. Platinum winners from each Monthly Contest will also receive travel, hotel accommodations and entry to The Big Show, to take place at a time and location TBD. If a Platinum winner is comprised of more than one (1) individual (e.g., a duet or band), travel and hotel accommodations will be provided for up to four (4) performers. In order to qualify as a performer, an individual must (1) appear in and (2) make a material contribution to the winning entry. Sponsor will solely determine if an individual qualifies as a performer. If a Platinum winner is under the age of eighteen (18) years old, or the age of majority in their jurisdiction, at the time of The Big Show, travel and hotel accommodations will also be provided for one (1) parent or legal guardian.

Total ARV: $14,000 USD (Additional value for travel and hotel accommodations will depend on the number of performers participating in The Big Show).

• ii. Gold Prize: $500 USD or the equivalent value in StarNotes.

Total ARV: $7,000 USD.

• iii. Runner-up Prize: $250 USD or the equivalent value in StarNotes.

Total ARV: $3,500 USD.

In the event that two (2) or more entries are tied for a Monthly Prize in a Monthly contest, tiebreakers will take place in the following order:

• 1. Entry with the higher average “Star Rating”.
• 2. Random drawing.

For the avoidance of doubt, a total of fourteen (14) Platinum, Gold and Runner-up prizes will be awarded for the Contest.

Total ARV for Monthly Prizes: $24,500.

• b. The Big Show: The Big Show will be a live event to take place after the conclusion of the last Monthly Contest for the current Contest Period. (Time and location TBD.) Voting for the winners of The Big Show will begin after all performers have had the opportunity to perform. The winners will be determined by the total number of votes received by each.

Total ARV for The Big Show Prizes: $182,500

The approximate retail value (“ARV”) for all prizes is $207,000

PRIZE RESTRICTIONS:

If a winner is a minor in his/her jurisdiction of primary residence, winner's parent/legal guardian must execute all documents and agree to all obligations and undertakings required of the potential winner in these Official Rules, both on behalf of himself/herself and the winning minor. Prize may be awarded in the name of, or to, parent/legal guardian.

Winning a prize is contingent upon fulfilling all requirements set forth herein. Winners are solely responsible for any and all expenses, relative to participation in the Contest (including acceptance of any prize) not specified herein.

No cash or other prize substitution, assignment or transfer of prizes permitted, except at Sponsor's sole discretion due to prize unavailability. Sponsor reserves the right to substitute a prize with one of comparable value or greater value (e.g., Sponsor may opt instead to award the cash equivalent of any prize in lieu of the prize itself). THE WINNER IS SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE.

Prize winners should allow up to 4-6 weeks after they return their signed, notarized affidavit to receive their prize.

10. POTENTIAL WINNERS:

ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL. SPONSOR SHALL SOLELY DETERMINE ANY FORM OF VERIFICATION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS, AFFIDAVITS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY ENTRY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON MAY BE DEEMED A DEFECTIVE ENTRY AND VOID.

Potential winners will be notified via email (or overnight mail) sent within fifteen (15) business days following the end of each Monthly Contest. Entrants are responsible for insuring that all mailing and e-mail information is up-to-date and accurate.

A potential winner will be disqualified and an alternate potential winner may be selected if (i) he/she does not comply with these Official Rules (or is otherwise determined to be ineligible), (ii) he/she does not respond to the prize notice within ten (10) days of its transmission (or receipt, if mailed), or if the emailed prize notice, after three (3) attempts, is returned as undeliverable, (iii) the person fails to comply with other rules set by the Game Administrator; or (iv) the prize is undeliverable for any reason. If Sponsor notifies, or seeks to deliver a prize to or otherwise attempts to contact an alternate potential winner, and such alternate potential winner is subsequently disqualified then Sponsor shall use its reasonable business judgment to determine, in its sole discretion, the disposition of the prizes (e.g., may choose another alternate potential winner in a manner consistent with these rules or donate the prize to another entity, at its sole discretion).

As a condition of receiving a prize, potential winners (and travel companions) may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, and, except where prohibited, a Publicity Release, within fifteen (15) days of the date stated on the prize notice.

Except where prohibited, participation in this Contest constitutes entrant's (and in particular, winner's) consent to Sponsor and its or their agents' use of entrant's name, likeness, voice, opinions and biographical information for publicity, advertising, trade or promotional purposes in any media or manner, now known or hereafter devised, worldwide, without further payment, consideration, notice or approval.

Canadian and Mexican residents who are potential winners may be required to answer a mathematical skill test in order to be eligible to win any prize.

CONDITIONS OF PARTICIPATION:

Participation constitutes entrant's full and unconditional agreement to these official rules and to Sponsor's decisions. The decisions of the Sponsor in regards to all matters of this Contest are final and binding.

Sponsor reserves the right in its sole discretion, to modify, cancel, terminate, and/or suspend the Contest and to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Sponsor may lock out an entrant who, in Sponsor's sole judgment, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION OR TO ALTER OR DAMAGE A WEBSITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Without limiting the foregoing, Sponsor may modify, cancel, terminate, and/or suspend the Promotion if, in the Sponsor's sole opinion, an incident of any kind occurs to corrupt or impair the administration, security, integrity, fairness or play (as intended) of the Promotion, including without limitation: (a) viruses, bugs, unauthorized human intervention, fraud or technical failure; or (b) earthquake, flood, fire, storm or other natural disaster, act of God; or (c) labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared).

In the event of a cancellation or termination by the Sponsor the entrants who have accumulated the highest number of votes (and who wins any pending tiebreakers) at the time of any said action will be awarded the prizes, or the prizes will be awarded in such other manner deemed fair and appropriate by Sponsor.

11. RELEASE AND INDEMNITY:

By participating in this Contest or receiving a prize, entrants (and in particular, winners) agree to release and to indemnify and hold harmless Sponsor, and each of their respective related companies, and all of its or their company's officers, directors, employees and agents (collectively, the "Released Parties") for any liability, injury, death, loss or damages to entrant or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by participation in this Contest (or related activities) or the acceptance, possession or use/misuse of a prize (including any travel or activity related to the prize).

12. GAMBLING PROHIBITION:

This Contest is strictly for entertainment purposes and may not be used in connection with any form of gambling. This Contest is not to be considered a contest subject to odds or any type of random selection of winners.

13. LIMITATIONS OF LIABILITY:

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment, hardware, software or programming associated or used with the Contest; (2) technical errors, defects, delays or failures of any kind, including without limitation malfunctions, interruptions or disconnections in communications lines, Internet or website access, hardware or software; (3) digital or electronic disruptions, e.g., viruses other security breaches; (4) unauthorized human intervention, e.g., hacking; (5) technical or human error which may occur in connection with any aspect of the Contest; and (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Contest, access to, copying or downloading materials from FindMeAStar.com or any other website, or receipt or use of any prize.

14. DISPUTES/CHOICE OF LAW:

Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in Los Angeles county, California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages"), and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. California law, without reference to California's choice of law rules, governs the Contest and all aspects related thereto, the participants expressly waiving any other forum that they may be entitled to in light of their current or future domiciles.

15. OFFICIAL RULES; WINNERS LISTS:

For a copy of the Official Rules and/or list of winners, mail a self-addressed stamped envelope (Residents of VT may omit return postage) to the address below. Requests must be received within thirty (30) days following the end of the Contest (i.e., by August 31, 2012).
