TERMS OF USE

THIS "TERMS OF USE" NOTIFICATION IS THE LEGAL AGREEMENT ("AGREEMENT") BETWEEN YOU ("USER" OR "CUSTOMER") AND FINDMEASTAR.COM, INC ("FINDMEASTAR.COM", "THE COMPANY", "WE", "US", OR "OUR") PRESENTING THE CONDITIONS BY WHICH YOU ARE ALLOWED TO USE ITS FINDMEASTAR.COM WEBSITE ("SITE") AND SERVICE (COLLECTIVELY, THE "SERVICES"). PLEASE READ THIS NOTIFICATION CAREFULLY AND UNDERSTAND ITS MEANING AND INTENT. USING OR ACCESSING THE SERVICES, IN ANY WAY, CONSTITUTES YOUR ACKNOWLEDGEMENT THAT YOU HAVE READ, UNDERSTAND, AND WILL ABIDE BY, ALL THE REQUIREMENTS OF THESE TERMS OF USE ("TERMS" OR "AGREEMENT"). IF YOU VIOLATE ANY PART OF THIS AGREEMENT, THEN FINDMEASTAR.COM HAS THE RIGHT TO PREVENT YOU FROM USING THE SERVICES, INCLUDING DEACTIVATING YOUR ACCOUNT, REMOVING ANY OF ITS CONTENT, OR RESTRICTING ACCESS TO THE SERVICES.

Limited License

Provided that you agree to be bound by, and adhere to, these Terms of Use, FindMeAStar.com grants you a temporary, non-exclusive, and revocable, license to use its Services, and the content and material available from and through them, for personal and non-commercial purposes only. You are not allowed to sell, rent, or re-license the Services or its contents to another individual, group, or entity. FindMeAStar.com, based on its sole judgment, has the right to suspend or terminate your license upon any discovered violation of the Terms of Use. Account Maintenance Aspects of the Service require that you to open an account. You are responsible for maintaining the security and integrity of your account including, but not limited to, monitoring and controlling all activities under your account, monitoring and controlling who accesses, or has access to, your account, and maintaining the security of your identification and password. You are to notify FindMeAStar.com immediately upon its discovery, if the security or integrity of your account is compromised in anyway. As such, we will not be liable, in any way, for any damages that may occur as a result. In addition, any actions that we may take, to prevent, mitigate, or respond to, such occurrences, will be at our sole discretion to do so, and does not constitute relinquishment of your responsibility for your account as set forth in this provision. Furthermore, you are not allowed to open an account on behalf of another individual, group, or any other entity. You are also not allowed to transfer or license your account to another individual, group, or any other entity. You have the right to close and discontinue your FindMeAStar.com account, at your sole discretion, at any time, without notice, and without liability to us, another user, or a third-party. Account Information and Content When opening an account, as well as in the course of using the Services, you will be required to provide personal information. The information you provide is to be factual, accurate, and current. FindMeAStar.com has the right, at its discretion, at any time, and with the means at its discretion (within the confines of the law), to verify the validity of the information that you provide. If we determine that the information you provided is false, inaccurate, or out-of-date, then we have the right, at our sole discretion, to suspend or terminate your account. Deciding not to do so, does not constitute a relinquishment of this right on our part. In addition, we are allowed to store and use your information, as we deem appropriate, to maintain functioning of the Services and your account. Any content, information, or data that you opt to make public through your account, constitutes an unlimited, non-exclusive, world-wide, and royalty-free license granted to FindMeAStar.com and its third-party suppliers to copy, reproduce, disseminate, display, alter, or make derivative works of, such content in any medium. Any personalized sound or video recordings that are created using the Services, whether they are publicly accessible or not, are the exclusive property of FindMeAStar.com; we have the right to use the name you provided in your account in association with our use of such recordings. However, you are granted a limited and revocable license by FindMeAStar.com to display such recordings via internet media other than our Services. We reserve the right to exercise discretionary control and restriction on the internet media that is permitted for displaying such recordings.

Acceptable Use

You are not allowed to use the Services in any way, or generally act in any way, that will, or potentially could, as deemed by us, cause damage to, obstruct any functioning of, or breach the security of, the Services, the content available from or through them, a user's account, or the operations and business activities of FindMeAStar.com. Objectionable Material

You are not allowed to input, store, post, display, upload, transmit, or disseminate, any content, data, information, pictures, files, or text, that is, as we deem it to be so, offensive, objectionable, indecent, harmful, threatening, obscene, vulgar, injurious, or invasive. If we discover content or activities that we deem are aligned with such characteristics, then we have the right at any time, at our sole discretion, and without notice, to block, edit, delete, or remove them, or suspend or terminate your account. If you come across content or material that you feel is, as described within this provision, we ask that you notify us so that we can investigate such matters. In any event, we will not be liable to you in any way for such content or material that displays such characteristics. Third-Party Links and Content Third-party content may appear on the Site or may be accessible via links from the Site. We are not responsible for and assume no liability for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content on the Site. You understand that the information and opinions in the third party content represent solely the thoughts of the author and is neither endorsed by nor does it necessarily reflect our beliefs.

Illegal Activities

You are not allowed to input, store, post, display, upload, transmit, or disseminate, any content, data, information, pictures, files, or text, that are illegal. We reserve the right to investigate complaints or reported violations of law to law enforcement officials, regulators, or other third parties and disclose any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, and traffic information.

Intellectual Property

You are not allowed to violate the intellectual property rights and copyrights of FindMeAStar.com or its third-party suppliers. The Services, and the content available from it, are the sole property of FindMeAStar.com and its third-party suppliers, and are protected by applicable intellectual property right and copyright laws. FindMeAStar.com will investigate all claims regarding violation of copyrights, and resolve such matters as appropriate. Likewise, we have the right, at our sole discretion, at any time, and without notice, to change, modify, suspend, or discontinue the Services, without any liability to you or any third-party. FindMeAStar.com, at its sole discretion, at any time, and without notice, has the right to modify, alter, add or subtract provisions to, or make any other changes to, these Terms of Use. Indemnification

You agree to indemnify, defend and hold FindMeAStar.com and its partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of the Terms of Use.

Limitations of Liability

FindMeAStar.com and any Affiliated Party shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from (a) any errors in or omissions from the Services, and content and material available from or through them, (b) the unavailability or interruption of the Services, or any features thereof, (c) your use of the Services, and content and material available from or though them, or (e) any delay or failure in performance beyond the control of a covered party.

Applicable Law

This agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any actions relating to this agreement must be brought in the federal or state courts located in Los Angeles County, California, and you irrevocably consent to the jurisdiction of such courts.

Enforcement

FindMeAStar.com may, without liability to you, investigate any reported or suspected violation of these Terms of Use, its policies or any complaints and take any action that it deems appropriate and reasonable under the circumstance to protect its systems, facilities, customers and/or Affiliated Parties. To comply with applicable laws and lawful governmental requests, to protect the Findmeastar.com Services and its users, or to ensure the integrity and operation of its business and systems, FindMeAStar.com may access and disclose any information it considers necessary or appropriate, including, but not limited to, user profile information (i.e., name, e-mail address, etc.), usage history, and account content. FindMeAStar.com also reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties.

Severability

If any provision of this Agreement is deemed illegal, invalid, void or otherwise unenforceable in whole or in part, then that provision shall be severed or shall be enforced only to the extent legally permitted, and the remainder of the provision and the Agreement shall remain in full force and effect. If any provision of this Agreement is deemed to be invalid, void or unenforceable only with respect to a particular application, such term or provision shall remain in full force and effect with respect to all other applications.

Waiver

FindMeAStar.com's failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of FindMeAStar.com's right to subsequently enforce such provision or any other provisions under this Agreement.

All feedback, questions, comments and complaints that you would like to send to FindMeAStar.com regarding the Services can be done in the "Contact Us" section found on the Site.

Communications

All notices permitted or required under this Agreement will by electronic mail to the email address most recently provided and will be effective upon transmission. FindMeAStar.com may, without obligation to do so, periodically send emails to you regarding updates or changes to the Services, Terms of Use, or Private Policy; you agree to accept electronic mail communications from FindMeAStar.com. Evidence of successful transmission shall be retained. Each of the parties may communicate with the other by electronic means as described in this Agreement. Each of the parties agrees to the following for all electronic communications: (i) The user identification of a sender, contained in an electronic communication, is legally sufficient to verify the sender's identity and the communication's authenticity; (ii) An electronic communication sent by You containing Your user identification establishes You as its originator and has the same effect as a document with Your written signature on it; and (iii) An electronic communication, or any computer printout of it, is valid proof of the validity of the original document of the electronic communication.
